These Terms and Conditions ("Terms") govern Your access to and use of the LazyCats AI web application, marketing site, Reports, exports, templates and Add-On Services (together, the "Service"), operated by LAZY CATS SRL. By creating an Account or using the Service, You agree to these Terms. These Terms work together with our Privacy Policy, which covers personal data, GDPR, processors and cookies.

1. Definitions

Service — the LazyCats AI web application at app.lazycats.ai, the marketing site at lazycats.ai, and all reports, exports, templates and add-on deliverables supplied through them.
Customer / You — the person or entity holding the Account.
Account — a single login credential set. One Account may hold multiple Sites and, on the Scale plan, multiple Users.
Site — one registered domain or subdomain submitted for auditing. Counts against the Plan's Site limit.
Audit — one automated analysis run against a Site.
Re-audit — a subsequent Audit of a Site already in the Account.
Plan — one of Free Audit, Starter, Agency or Scale, as described in Section 3.
Add-On Service — a separately purchased, human-delivered service (citations, listicles, links, community mentions) as described in Section 5.
AI Answer Engine — a third-party generative system whose outputs the Service observes, currently ChatGPT, Google Gemini, Anthropic Claude and Perplexity.
Report — the generated output of an Audit, including its on-screen presentation and PDF/CSV exports.
Bonus Template — a downloadable or cloneable asset supplied with a paid Plan (Section 6).
Customer Content — anything You submit: URLs, custom queries, competitor names, white-label branding, uploaded material.
Deliverable — a Report, export or Add-On Service output supplied to You.

2. The Service, plainly stated

The Service analyses whether and how a Site is represented in the answers produced by AI Answer Engines. It runs queries against those engines, records which sources they cite, scores the Site's visibility, identifies technical and content gaps, tracks changes over time, compares the Site against named competitors, and generates prioritised recommendations. Paid Plans add exports, sentiment analysis, multi-site management and deeper reporting as set out in Section 3.

What the Service is not. It is not affiliated with, endorsed by, or operated in partnership with OpenAI, Google, Anthropic, Perplexity or any other AI Answer Engine operator. Their names appear in the Service solely to identify which engine a given observation came from. It does not modify Your website, and it does not place, purchase or guarantee any citation or mention except through the Add-On Services in Section 5.

3. Plans, entitlements and limits

3.1 Common to all Plans

Every Account, including Free, receives: account settings with password change and account deletion, the first-login guided tour, and the AI Visibility tab.

3.2 Free Audit — $0

No payment method required.
One Audit of one Site, one time.
Report is limited to teaser data: visibility score, top three issues, a citation preview and a competitor teaser.
Locked, with an upgrade prompt: Recommendations, Citations, Trends, Site Readiness, Custom Queries, Refresh Tracker, Next Steps.
No exports of any kind. No re-audits.
No entitlement to Bonus Templates.
We may retire, alter or withdraw the Free Audit tier at any time without notice. Nothing purchased is affected.

3.3 Starter — $19.99/mo, $15.99/mo billed annually

1 Site.
Unlimited Audits on that Site, with weekly Re-audit cadence.
Full Report: complete issue breakdown, full citation map, prioritised action plan, competitor tracking, per-engine breakdown across the four AI Answer Engines, target and missing keyword analysis, platform-specific fixes.
Up to 25 tracked custom queries.
PDF and CSV export. Exports carry a fixed "Powered by LazyCats AI" footer that cannot be removed on this Plan.
Bonus Templates: llms.txt template, Glossary Cloneable.
No sentiment analysis, no white label, no shareable links, no Refresh Tracker, no multi-site.

3.4 Agency — $49.99/mo, $39.99/mo billed annually

Everything in Starter, plus:

5 Sites.
Sentiment analysis on citation sources.
White-label reports: Your company name and website URL replace LazyCats branding on exports. The toggle is on by default and lives in the Export Report dialog.
Shareable report links.
Project switcher and multi-project sidebar.

3.5 Scale — $99.00/mo, $79.00/mo billed annually

Everything in Agency, plus:

20 Sites. Scale is a capped Plan, not an unlimited one.
On-demand Re-audits in addition to the weekly cadence.
Bulk audits and priority processing. You may add up to five Sites in one operation; Sites are processed sequentially, not simultaneously, to stay within third-party rate limits.
Advanced Reporting: gauge score with period delta, citation sources with per-source sentiment, prompt coverage and authority scoring, visibility trend across 7/30/90-day windows, and competitor comparison of up to eight competitors.
Quarterly Content Refresh Tracker (Section 3.7) and template.
Team access (Section 3.6).

3.6 Team access

Team access on the Scale Plan is in the process of being finalised. Seat count, invitation flow and the non-owner permission model will be published here, and reflected on the pricing page, before the feature is enabled for new Accounts. If You have purchased Scale and need current details on Team access, contact support@lazycats.ai.

3.7 Features that require an accrual period

The Quarterly Content Refresh Tracker is populated from Your Site's accumulated citation history and requires approximately 90 days of observation before it produces results. Every new Scale Account will see an empty "gathering data" state at first. This will also be disclosed at checkout for the Scale Plan.

3.8 Limits are per Account and do not roll over

Site limits, query limits and Re-audit allowances are measured per Account per billing period. Unused allowance expires at the end of the period and is not refunded, credited or carried forward. Exceeding a limit does not incur automatic charges; the relevant function is unavailable until You upgrade or free capacity.

3.9 We may change Plan contents

We may add, alter or withdraw features within a Plan. Where a change materially reduces what a paid Plan provides, we will give at least 30 days' notice by email, and You may cancel before it takes effect and receive a pro-rated refund of the unused prepaid period. Adding features, fixing defects, and changing the Free tier require no notice.

4. Payment, renewal, upgrades and refunds

4.1 Processing

Payments are processed by Stripe. We do not receive or store full card details. Your use of the payment flow is additionally subject to Stripe's own terms.

4.2 Billing and renewal

Subscriptions are prepaid and renew automatically — monthly or annually, matching the term chosen — until cancelled. Prices are exclusive of VAT and other applicable taxes unless the checkout states otherwise. Automatic renewal is also disclosed on the checkout screen itself, not only here.

4.3 Upgrades and downgrades

On upgrade, the price difference is pro-rated by Stripe for the remainder of the current period. Feature allowances that reset per period — notably the Re-audit allowance — are granted in full and immediately on upgrade, not pro-rated.

On downgrade, the change takes effect at the end of the current billing period. No partial refund is issued for a downgrade. If Your Site count exceeds the lower Plan's limit at that point, Sites beyond the limit become read-only until You remove enough Sites to comply; we do not delete them for You.

4.4 Cancellation

You may cancel at any time from account settings. Cancellation stops future renewals; it does not refund the current period, and access continues to the end of it.

4.5 Refunds

Paid Plans may be refunded in full within 14 days of first purchase if fewer than three Audits have been run on the Account. After that, or beyond three Audits, fees are non-refundable except where required by law. Renewals are not refundable. Add-On Services are non-refundable once work has begun (Section 5.4).

Consumers in the EU and UK have statutory withdrawal rights that may exceed this; those rights are not waived, and the checkout asks consumers to consent to immediate performance where relevant.

4.6 Failed payment

If a renewal fails we will retry and notify You. After 14 days of non-payment the Account is downgraded to read-only. Data is retained for 30 days from downgrade, then may be deleted.

4.7 Price changes

We may change prices for future billing periods with at least 30 days' notice. Your current prepaid period is unaffected.

5. Add-On Services

Add-On Services are one-time purchases, delivered partly or wholly by humans and third parties, and are governed by this section in addition to the rest of these Terms.

Prices are per purchase and may change; the price shown at checkout governs.

5.2 Nature of the deliverable

An Add-On Service is a commitment to perform defined work — submitting citation listings, producing and placing content, securing mentions — not a commitment to a business outcome. We do not warrant any resulting change in Your visibility score, search ranking, AI citation frequency, traffic or revenue.

5.3 Third-party publishers

Placements depend on third-party directories, publishers and community platforms with their own editorial rules and timelines. Where a specific placement is refused, delayed or later removed by the third party, we will substitute an equivalent placement of comparable standing. If no equivalent is available we will refund the pro-rated portion for that unit. We are not responsible for a third party subsequently editing, unpublishing or removing content, and we do not undertake to maintain placements indefinitely.

5.4 Delivery, cancellation and refunds

Delivery timelines are given at purchase and are estimates. Because work is commissioned externally, an Add-On Service is non-refundable once work has begun, and You may cancel only before that point. "Begun" means: for Citations, first submission to a directory; for Listicles and Reviews, commissioning of the writer; for Authority Links and Community Mentions, first outreach to a prospective publisher or community.

5.5 Your obligations

You must supply accurate business information, and You confirm You are authorised to have content published about the brand in question. Content we produce about Your brand is subject to Your review only where the purchase says so.

5.6 What we will not do

We do not purchase placements that violate a platform's rules where those rules prohibit paid placement, and we do not misrepresent paid content as independent editorial where disclosure is required. Requests to do either will be refused, and the fee is not refundable if the request is the reason the work cannot proceed.

6. Bonus Templates and cloneables

Bonus Templates are provided with paid Plans at no additional charge.

You receive a non-exclusive, non-transferable, perpetual licence to use each Bonus Template for Your own websites and for websites You build for Your clients, including modification. This licence survives cancellation for templates already downloaded.

You may not redistribute, resell, sublicense, publish or make a Bonus Template publicly available as a template, cloneable, product or lead magnet, whether modified or not.

The Glossary Cloneable is distributed as an unlisted Webflow cloneable available by link to paying customers. Sharing that link outside Your organisation, or listing the cloneable publicly, is a breach of this section and grounds for suspension under Section 14. Access is granted while Your Plan is active; existing clones are unaffected by later cancellation.

Where a Bonus Template is an unfinished or announced item, no entitlement arises until it is released.

7. Intellectual property

7.1 Ours

The Service, its interface, source code, design, brand, scoring methodology, prompt sets and the structure and presentation of Reports are owned by LAZY CATS SRL and its licensors. Nothing here transfers ownership. You may not copy, reverse-engineer, scrape, resell, or use the Service to build a competing product, and You may not use our name or marks except to state factually that You use the Service.

7.2 Yours

You retain ownership of Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display it as needed to operate and support the Service, for as long as You keep it in the Service.

7.3 Reports and Deliverables

On full payment You receive a perpetual, worldwide, non-exclusive licence to use, adapt and share the Reports and Deliverables generated for Your Sites — including internally, with clients, and publicly — subject to Section 7.4. Reports remain our copyrighted work; the licence, not ownership, is what transfers.

7.4 White-label use

On the Agency and Scale Plans You may remove LazyCats branding and substitute Your own on exported Reports, and present them to Your clients as Your own work product. That permission covers presentation only. It does not license the LazyCats name, brand or methodology, does not permit You to describe the underlying analysis as built by You where a client asks directly, and does not permit You to resell access to the Service itself. Reselling seats or logins is prohibited under Section 8; delivering Reports to clients is expressly permitted.

7.5 Aggregated and anonymised data

We may compile aggregated, de-identified statistics from Audits across all Accounts and publish them, including in benchmark research and marketing. Such statistics will never identify You, Your Sites, Your clients or Your Customer Content, and will not be constructed so that any of them can reasonably be re-identified. If You would prefer to be excluded, email support@lazycats.ai and we will exclude Your Account.

7.6 Feedback

Suggestions You send us may be used without restriction or compensation. You are not obliged to send any.

8. Acceptable use

The rules below are the operative acceptable-use terms for the Service. We may publish a separate, more detailed Acceptable Use Policy in the future; if we do, it will be linked here and incorporated by reference. You must not:

Submit Sites You neither own nor are authorised to audit. Auditing a competitor as a competitor through the Competitors feature is permitted and expected; registering someone else's domain as Your own Site is not.
Share, resell, sublicense or rotate credentials, or provide Service access to anyone outside Your Account. Client Reports are the permitted way to serve clients.
Circumvent Plan limits, gating or locks by technical means, multiple free Accounts, or otherwise.
Scrape, crawl, mirror or automate access to the Service outside a documented API.
Submit unlawful, infringing or malicious Customer Content, or content designed to harass or defame a third party — including through white-label branding and custom queries.
Use the Service to generate deceptive content, impersonate a brand, or manipulate AI Answer Engines through means those engines prohibit.
Interfere with the Service's operation, security or availability, or attempt to access another Account.

9. AI outputs, accuracy and no guarantee of results

Third-party outputs change constantly. The Service reports what AI Answer Engines produced at the time of observation. Those systems are non-deterministic: the same query can return different answers, different citations and different sentiment minutes apart, and they change without notice. Observations are point-in-time and may not reproduce.

Scores and analysis are estimates. Visibility scores, authority scores, sentiment classifications, prompt coverage and competitor comparisons are produced by our own models and heuristics. They are informational estimates, not measurements of fact and not statements about any person or company.

Sentiment analysis in particular. Sentiment is machine-classified from generated text and will sometimes be wrong. Do not treat a sentiment reading as a factual claim about how any brand, publication or person regards another. Do not present it to a client as one.

Recommendations are advice. Implementation is Yours, at Your own risk. We do not review Your implementation and are not responsible for the consequences of changes You make to Your website.

No guarantee of results. We do not warrant that using the Service or any Add-On Service will improve Your visibility, citation frequency, ranking, traffic, conversions or revenue. Nothing in the Service, the marketing site, or any conversation with us is a promise of a specific outcome.

Not professional advice. The Service does not provide legal, financial, tax or other professional advice.

10. Availability, support and third-party dependencies

The Service is provided without an uptime commitment or SLA unless separately agreed in writing. We may take it offline for maintenance and will use reasonable efforts to schedule disruptive work outside peak hours.

The Service depends on third parties, including AI Answer Engine providers, Stripe, hosting and email infrastructure. If a provider changes, restricts, deprecates or blocks its interfaces, features may degrade or be withdrawn. Where a withdrawal materially reduces a paid Plan, Section 3.9 applies.

11. Warranties and liability

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

We are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost data, lost goodwill, or losses arising from decisions made on the basis of a Report or a third-party engine's output.

Our total aggregate liability arising from or relating to the Service is limited to the greater of (a) the total fees You paid in the 12 months preceding the event, or (b) $100. For Add-On Services, liability for a specific engagement is additionally capped at the fee paid for that engagement.

Nothing excludes liability that cannot lawfully be excluded — including death or personal injury caused by negligence, fraud, and non-waivable consumer rights.

12. Indemnity

You will indemnify us against third-party claims arising from Customer Content, from Sites You submitted without authorisation, from Your use of Reports with Your clients, and from Your breach of Section 8. We will indemnify You against third-party claims that the Service itself infringes their intellectual property, provided You notify us promptly and let us control the defence.

13. Data protection

Governed by the Privacy Policy. The essentials that belong here: where we process personal data contained in Customer Content on Your behalf, You are the controller and we are the processor, and a Data Processing Addendum applies on request — Agency and Scale customers serving clients with EU personal data should contact support@lazycats.ai to request one. For Your own account data we are the controller.

Deleting Your Account through account settings removes Your Sites, Audits, Reports and Customer Content from the live Service. Backups are purged on a rolling cycle of up to 30 days. Aggregated anonymised statistics under Section 7.5 are unaffected, as they contain no identifying data.

14. Suspension and termination

We may suspend or terminate an Account for breach of Section 8, non-payment under Section 4.6, fraud or chargeback abuse, or where required by law. Where practical and safe we will give notice and a chance to remedy first. Serious breaches — credential sharing, redistribution of Bonus Templates, attacks on the Service — may be actioned immediately.

On termination for breach, no refund is due. On termination by us for any other reason, we refund the unused prepaid portion.

You may terminate at any time under Section 4.4. Export anything You need before You do; we are not obliged to retain or supply data afterwards.

15. Changes to these Terms

We may update these Terms. The current version and its effective date sit at the top of this page. For material changes affecting paid Plans we will give at least 30 days' notice by email and keep previous versions accessible on request. Continued use after the effective date is acceptance; if You object, cancel under Section 4.4 before it takes effect.

16. General

Governing law and jurisdiction. These Terms are governed by the laws of Romania. The courts having jurisdiction over LAZY CATS SRL's registered office (Botoșani, Romania) have exclusive jurisdiction over any dispute, except that consumers retain the right to bring proceedings in their country of residence where local law provides it.

These Terms, together with the Privacy Policy, are the entire agreement, and supersede prior discussions and marketing statements. If a provision is unenforceable, the rest stands. We may assign these Terms on a merger or sale of the business; You may not assign without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for failure caused by events beyond its reasonable control. We are independent contractors, not partners, and nothing creates an agency or employment relationship.
